1. Acceptance of Terms
By downloading, installing, accessing, or using Slate ("the App"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use the App.
2. About Slate
Slate is software designed to help users collect, organise, and manage visual references and related content.
3. Licence
Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable licence to use the App for personal or business purposes.
You may not:
- Copy, distribute, resell, lease, or sublicense the App except as permitted by law.
- Reverse engineer, modify, or create derivative works of the App except where applicable law permits.
- Use the App in a manner that violates any law or regulation.
4. User Content
You retain ownership of any content, images, files, references, or materials you add to or manage through the App ("User Content").
You are solely responsible for ensuring you have the rights necessary to use, store, and manage your User Content.
We do not claim ownership of your User Content.
5. Future Features and Paid Services
Certain features of the App may become paid, subscription-based, or otherwise subject to fees in the future.
Any applicable pricing, billing terms, and subscription conditions will be provided before payment is required.
We reserve the right to introduce, modify, suspend, or discontinue features at any time.
6. Updates
We may provide updates, improvements, bug fixes, or new features from time to time.
We are not obligated to provide any specific updates or maintain compatibility with any particular operating system, device, or third-party service.
7. Availability
The App is provided on an "as is" and "as available" basis.
We do not guarantee that the App will be uninterrupted, error-free, secure, or available at all times.
8. Intellectual Property
The App, including its design, software, branding, logos, text, and related materials, is owned by or licensed to Slate and is protected by applicable intellectual property laws.
Except as expressly permitted in these Terms, no rights are granted to you.
9. Disclaimer
To the fullest extent permitted by law, the App is provided without warranties of any kind, whether express or implied.
We disclaim all warranties including, but not limited to, merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, business interruption, or loss of goodwill arising from your use of the App.
Our total liability arising from or relating to the App shall not exceed the amount you paid for the App during the twelve months preceding the claim, or £100, whichever is greater.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
11. Termination
We may suspend or terminate access to the App or any associated services at any time where reasonably necessary.
You may stop using the App at any time.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of the App following changes constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
